Welcome to the Key2Fleet Rentals Business Portal. These Terms and Conditions govern all vehicle rentals, corporate accounts, and digital bookings executed through our platform or the Wheelbase booking system. By executing a rental, accessing our fleet, or utilizing our services, the Corporate Client, its authorized employees, and individual Renters (collectively referred to as the "Renter") agree to be legally bound by these terms.

I. Corporate Eligibility & Driver Authorization

Age & Licensing Compliance: Every individual operator must be of legal years of age at the time of rental execution and hold a valid, current driver's license recognized by applicable state and federal authorities.

Sole Authorized Operator Restriction: The Renter shall be the sole authorized operator of the vehicle. No additional, substitute, or unlisted corporate drivers are permitted to operate the vehicle without explicit, prior written consent from Key2Fleet Rentals.

Material Breach for Unauthorized Use: Permitting any unauthorized third party to operate the vehicle constitutes an immediate material breach of this Agreement. In such events, the Renter assumes full, primary liability for all resulting damages, losses, claims, and administrative expenses, including any subsequent insurance denials.

II. Rental Term, Extensions, and Possession Policies

Commencement & Conclusion: The rental term is strictly defined by the dates and times recorded in the digital Wheelbase Booking Summary. The term officially commences upon digital checkout/pickup and formally concludes only when the vehicle is returned to the Owner and the digital "Check-in" process is finalized in the Wheelbase system.

Extension Protocols: Any request to extend the rental term must be formally submitted through the Wheelbase platform at least three (3) days prior to the original scheduled drop-off date. Extensions are subject to fleet availability, corporate approval, and immediate payment clearing before the extension is officially granted.

Late Return Penalties (Possession-Based Fees)

A 30-minute grace period may be granted at Key2Fleet Rentals' sole discretion. If the vehicle is retained beyond this grace period, the following liquidated charges apply regardless of billing disputes:

  • $25.00 per hour for delays up to three (3) hours.
  • A full additional daily rental rate for delays exceeding three (3) hours.

Unauthorized Retention: Failure to return the vehicle without written authorization empowers Key2Fleet Rentals to initiate immediate vehicle recovery or repossession, assess additional enforcement fees, and report the vehicle to law enforcement authorities.

III. Geographic Limitations & Telematics

Primary Service Area: Unlimited mileage is granted exclusively within the borders of the State of Georgia.

Out-of-State Operations: Utilizing the vehicle outside the State of Georgia constitutes operations beyond the agreed service area and operational coverage limits. Out-of-state travel requires prior notification to Key2Fleet Rentals and incurs a mandatory, flat Out-of-State Fee of $50.00 per rental period to offset heightened operational, administrative, and insurance exposures. Failure to provide prior notice may be treated as a material breach.

GPS and Telematics Tracking: Key2Fleet Rentals utilizes GPS and remote telematics technology for operational safety, security, asset tracking, and compliance enforcement. By entering into this agreement, the Renter provides express consent to real-time location monitoring.

IV. Commercial Fee Structure & Payment Authorizations

Baseline Fees: The Renter agrees to pay all itemized base rental charges, delivery fees, taxes, platform fees, and insurance premiums detailed in the Wheelbase Booking Summary. All fees are non-refundable and due prior to vehicle handover unless otherwise agreed in writing.

External Billing & Incidental Authorization: While primary rental fees are handled via Wheelbase, the Renter expressly authorizes Key2Fleet Rentals to collect any subsequent fees, citations, penalties, or damages through external corporate channels. This includes direct charges to credit cards on file, corporate digital wallets (PayPal, CashApp, Venmo), or electronic fund transfers (Wise, Zelle, direct Bank Transfer).

Late Payment Policy: Delinquent balances past due by one (1) day will automatically incur a $50.00 late fee, followed by a compounding fee of $5.00 per additional day until paid in full.

Default Consequences: Failure to settle fees when due constitutes a material breach, authorizing Key2Fleet Rentals to immediately terminate the rental term, remotely disable or recover the asset, and pursue legal collections. The Renter shall be liable for all collection agency fees, court costs, and reasonable attorney fees.

V. Liquidated Damages & Policy Violations

The Renter agrees to pay the following fixed, pre-estimated liquidated damages for interior or property violations (which are not penalties):

Sanitation & Odor Violations: A minimum $350.00 cleaning fee for excessive dirt, spills, bodily fluids, or smoke/odor remediation (all fleet vehicles are strictly non-smoking).

Specialized Detailing: A $150.00 detailing fee for pet hair, severe staining, or debris requiring commercial extraction.

Note: If actual repair costs or loss of operational use exceed these thresholds, Key2Fleet Rentals reserves the right to charge the full actual amount incurred.

VI. Discretionary Refunds & Early Terminations

Non-Refundable Baseline: All payments are strictly non-refundable once the vehicle has been dispatched or picked up.

Early Termination Conditions: If a partial refund is approved in writing under sole company discretion, it remains subject to the following strict conditions:

  • An Early Termination Fee equivalent to 30% of the remaining unused base daily rental charges (excluding taxes and platform fees), subject to a $100.00 minimum charge.
  • Formal post-return inspection by Key2Fleet Rentals to determine any offsetting deductions for usage, cleaning, tolls, administrative costs, or physical damages.
  • An internal corporate processing window of three (3) to five (5) business days following the post-return inspection.

VII. Insurance & Corporate Indemnification

Primary Liability: The Renter remains fully responsible for all physical damages, loss of use, theft, and liabilities arising during the rental term, irrespective of whether insurance coverage applies.

Insurance Maintenance: The Renter must maintain valid auto insurance coverage throughout the rental term, either via personal/commercial auto policies or verified protection plans purchased directly through Wheelbase. Any available insurance acts strictly as secondary to the Renter's direct contractual obligations.

Indemnification: The Renter agrees to indemnify, defend, and hold harmless Key2Fleet Rentals from all claims, fines, liabilities, legal actions, and court costs arising out of the Renter's use, operation, or possession of the vehicle.

VIII. Violations, Tolls, and Fleet Management

Citations & Traffic Violations: The Renter assumes exclusive liability for all parking tickets, traffic violations, moving violations, or impound charges incurred during the operational window. In addition to the citation costs, a $50.00 administrative service charge will be assessed per violation.

Toll Management: All tolls are the responsibility of the Renter. Tolls processed via "Pay-by-Plate" or electronic video systems will be charged back to the Renter's account alongside an administrative fee of $10.00 per individual toll event.

Impound & Asset Recovery: If a vehicle is impounded or towed, the Renter is liable for all storage and release fees. If Key2Fleet Rentals must step in to retrieve the asset, the Renter will be billed for all recovery, towing, and specialized pick-up fees.

IX. Operational Conditions & Fleet Fuel/EV Policy

Duty to Inspect & Report: The Renter acknowledges that the vehicle is delivered in safe, operational condition based on Wheelbase digital inspection records. The Renter assumes full responsibility during the term and must immediately cease operations and notify Key2Fleet Rentals upon noticing any warning lights, mechanical anomalies, or safety hazards. Failure to report issues timely makes the Renter liable for subsequent compounded damage.

Refueling & Recharging: The vehicle must be returned with a fuel level or Electric Vehicle (EV) battery charge matching or exceeding the exact levels documented at checkout. The Renter is fully responsible for all charging fees or refueling costs incurred during the rental.

EV Compliance: For all EV bookings, the Renter is required to manage route planning and locating functional public or Tesla Supercharging hubs. Key2Fleet Rentals assumes no liability for faulty or unavailable third-party charging infrastructure.

X. Prohibited Uses

Any engagement in the following activities constitutes a material breach of contract, resulting in immediate rental termination, asset repossession, and complete exposure to out-of-pocket liabilities:

  • Operation by any individual with a suspended, revoked, or restricted driver's license.
  • Operating the vehicle under the influence of alcohol, controlled substances, or medications that impair driving ability.
  • Pushing, towing, or carrying unapproved commercial loads.
  • Speeding, street racing, track demonstrations, speed contests, or endurance testing.
  • Off-road operations or driving on unpaved surfaces without explicit prior written consent.
  • Utilizing the vehicle for illegal activities or unapproved commercial hire.

XI. Commercial Rideshare & Delivery Authorization

Prior Written Approval Required: The vehicle may be utilized for commercial rideshare or delivery platforms (e.g., Uber, Lyft, DoorDash) only if the Renter has received explicit prior written or verified digital authorization (via SMS, email, or official platform messaging) from Key2Fleet Rentals.

Compliance Standards: Authorized commercial operators must be fully approved under this agreement, maintain verifiable commercial-grade insurance policies that cover rideshare activities, and strictly adhere to all regional platform and usage/mileage limits established by the Owner. Unauthorized commercial usage results in immediate termination of the agreement.

XII. Asset Recovery & Remote Disablement

Right to Recover: In the event of a material breach—including but not limited to non-payment, suspected fraud, or unauthorized vehicle retention—Key2Fleet Rentals reserves the absolute contractual right to recover the vehicle in accordance with state laws.

Remote Disablement Technology: Where legally permitted, vehicles may be equipped with remote disablement hardware. Disablement will strictly override operational tracking only under stationary conditions to protect the safety of the occupants and public roadways. Under no circumstances will a vehicle be disabled while in active motion. The Renter remains entirely liable for all recovery costs, towing, and administrative fees associated with asset reclamation.

XIII. Governing Law and Venue

This Agreement, its construction, and all legal relationships arising from corporate bookings shall be governed exclusively by the laws of the State of Georgia. The Parties explicitly covenant and agree that any legal action, lawsuit, or judicial proceeding arising out of or relating to this agreement shall be instituted exclusively in the courts of Liberty County, Georgia (Hinesville).
